I am managing the multi-billion Pak-Rupees Public Private Partnership (PPP) projects portfolio, with 30-40% equity investment by the organization. The capital structure of these mega infrastructure projects also include debt financing and Viability Gap Financing (VGF / Government subsidy) of multi billion Pak-Rupees.

This job role involves in-depth knowledge of infrastructure investment transactions along with strong financial modelling and analysis skills.
The role includes multiple iterations for presentation of recommendations to the top management, based on which the investment decisions in PPP projects are finalized
Scenario and sensitivity analysis is done frequently for such investment projects to evaluate the realized Return on Equity (ROE) and Equity IRR.
Valuation analysis of the capital project based on Free Cash flow to Firm (FCFF) and Free Cash flow to Equity (FCFE) basis over the concession term for submission and approvals at government authority.
Project Financing roles include negotiating with external stakeholders to close transactions and achieve financial close including but not limited to reviewing, negotiating and finalizing the term sheets and financing documents, with Lenders and potential Equity partners.
Commercial Risk assessment of Concession documents and advising top management on strategic affairs.
Supporting SPVCs on financial projections and security documents execution and registration with corporate regulator.

worked with the senior management to achieve Financial Close of 700MW Azad Pattan Hydropower Project being developed on build-own-operate-transfer (BOOT) basis worth USD 1.5 billion, recently also included in the list of energy promoted projects under the framework of China Pakistan Economic corridor (CPEC).
The specific job tasks being currently performed are mentioned hereunder:

Financial Modelling & Investment:

Assist in formulation and review of bankable Financial Models for equity sponsor’s investment approvals, depicting forecasted Financial Statements, Key Financial Indicators (KFIs) and Dashboards for investment decision making and feasibility analysis.

Project Financing:

Assist in review of Financing documents and agreements prepared by the lenders and lender’s advisors, including but not limited to:
o   Lender’s term sheet.
o   Facility Agreement.
o   Accounts (cashflow waterfall) agreement.
Agreements and liaise with several Lender’s advisors (Legal, Technical, Financial, Insurance etc.,) for due diligence.

Financial planning & Strategy:

Assist in formulating Total Project Cost and Project Budgets over the term.
Assist in forecasting Project cost over the construction period to determine financing requirements.

Risk analytics & Research:

Assist in review, finalization, and commercial risk assessment of Concession documents under the framework of Power Policy such as Power Purchase Agreement (PPA), Implementation Agreements (IA’s), Water Use Agreements (WUA’s) and applicable NEPRA regulations & policies.

Commercial Management & Project Implementation:

Assist in drafting and negotiations of several consultancy and commercial agreements based on FIDIC standard, including but not limited to Owners Engineer agreement, Insurance Broker agreement, and several Lender’s advisor agreements etc.
o   Contract management for a Land development Agreement.
o   FIDIC based Construction Contract finalization and management.
o   Resident Engineer Agreement finalization and management.
o   Agreements for legal, design and tax consultants etc.,
Reviewing the Cashflow projections and Construction Schedules etc
