Job Description

  • Correspondence with securities & exchange commission of Pakistan.
  • Correspondence with register joint stock companies, stock exchange, shareholders and other relevant bodies.
  • To arrange Annual General & Extra Ordinary general meetings of the members.
  • To Examine the transfer, transmission, & nomination.
  • Organizing and preparing agendas and papers for board meetings, committees and annual general meetings (AGMs).
  • Prepare and circulate minutes of meetings.
  • Serve as a liaison with SECP, in which includes filling of all related forms.
  • Following up on actions from meetings.
  • Overseeing policies, making sure they are kept up to date and referred to the appropriate committee for approval.
  • Provide necessary support on the process of public the listing process at SECP end and other legal fronts.
  • Maintaining statutory books, including registers of members, directors and secretaries.
  • Dealing with correspondence, collating information and writing reports, ensuring decision made are communicated to the relevant company stakeholders.
  • Contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting and tax implications of proposed policies.
  • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.
  • Liaising with external regulators and advisers, such as lawyers, auditors and Legal Advisor.
  • To prepare, approve, sign and seal agreements leases, legal forms, and other official documents on the company’s behalf, when authorized by the board of the directors.
  • Prepare minutes’ register of BOD Meetings, AGM, EOGM registers.

Skills required:

  • Strong knowledge of legal issues.
  • Excellent communication skills, both verbal and written.
  • SECP documentation and laws.
