Job Purpose
Planning, administering and reviewing corporate compliance activities, and effective practices regarding meeting of the Board of Directors and Shareholders. In addition, ensure compliance with the legal affairs concerning corporate practices and implementation of Board decisions.
Job Description
- Management of Company’s listing related matters on PSX and Statutory Reporting to SECP, Stock Exchange and Shareholders.
- Timely fulfillment of the compliances for all Corporate and Legal requirements of the Company related to SECP (Registrar and Commissioner), CDC, Listing Regulations of Pakistan Stock Exchange and other corporate and statutory requirements, Forms filing etc.
- Proficient with the Companies Act, 2017, Code of Corporate Governance, Listing Regulations of the Pakistan Stock Exchange and other relevant laws.
- Able to prepare agenda and papers for Board and Committee meetings, Annual General Meetings, and draft minutes of the meetings and resolutions.
- Have a good understanding of all matters concerned with allotment of shares and issuance of share certificates, IPO, Right issue including maintenance of statutory share register and conducting, activities connected with the share transfers.
- Able to make arrangements for payment of dividends to the shareholders within the prescribed period as provided under the provision of the Companies Act, 2017.
- Able to liaise with Shares Registrar, other regulatory bodies and shareholders.
Required Qualification
- ICSP Membership or Partly Qualified CMA or CA alongwith Articleship / MBA / M.Com
