🎓 QUALIFICATIONS — MANDATORY
In accordance with the State-Owned Enterprises (Governance and Operations) Act 2023 and CMU Guidelines 2024, the successful candidate must hold at least one of the following:
✅ Professional Accountant — Member of ICAP, ACCA, or ACMA
✅ Corporate / Chartered Secretary — Member of ICSP
✅ Master’s Degree — MBA, M.Com, MFinance, or LLM/Bar-at-Law from an HEC-recognised university
📌 ELIGIBILITY CRITERIA
◆ Minimum 8 to 10 years of post-qualification experience in corporate governance or a closely related field.
◆ At least 3 to 5 years served specifically as a Company Secretary in a large public sector or listed company.
◆ Must satisfy the Fit and Proper criteria under Schedule IV of the SOE Act 2023.
Candidates who do not meet the mandatory qualification and experience thresholds will not be considered for shortlisting.

💼 WHAT YOU WILL DO
As Company Secretary, you will be the custodian of corporate integrity and a trusted adviser to the Chairman and the Board. Your responsibilities will include:
◆ Board & Committee Management — Organise Board and Annual General Meetings (AGM), prepare comprehensive agendas, and record accurate, legally sound minutes.
◆ Regulatory Compliance — Ensure full adherence to the SOE Act 2023, Companies Act 2017, Public Sector Companies (Corporate Governance) Rules 2013, and SECP regulations.
◆ Strategic Advisory — Advise the Chairman and Board members on their legal duties, business ethics, and corporate governance best practices.
◆ Statutory Filings — Manage all submissions to the Securities and Exchange Commission of Pakistan (SECP), including annual returns, notices of director appointments and removals, and changes in share capital.
◆ Custodian of Records — Maintain statutory registers (Register of Members, Directors' Interests), corporate records, and the company seal with meticulous accuracy.
◆ Regulatory Liaison — Serve as IRADA's primary interface with external regulators (SECP, SBP), external auditors, and government stakeholders.
◆ Governance Leadership — Support the Board in maintaining the highest standards of governance and ethical decision-making consistent with IRADA's national mandate.
