Associate Inhouse Counsel

This role is based in Contour’s offices in Karachi, Lahore, or Islamabad and involves working closely with international business units.

Key Responsibilities:
- Support the structuring, drafting, and negotiation of commercial agreements such as software license agreements, service agreements, partnership contracts, and time-sensitive tenders or RFQs.
- Provide contract assistance for standard corporate agreements including non-disclosure agreements, marketing contracts, intercompany agreements, and independent contractor arrangements.
- Assist with corporate restructuring activities, including mergers, acquisitions, and entity formations, by preparing and reviewing relevant documentation.
- Participate in acquisition processes by conducting contract reviews during due diligence, preparing ancillary and internal contribution agreements, and supporting post-acquisition integration efforts.
- Liaise with external legal firms to manage corporate records, including bylaws, board resolutions, director changes, and annual reports.
- Support the creation and maintenance of corporate subsidiaries, handling entity formation, dissolution, foreign qualifications, DBAs, EINs, and related tax compliance documentation.
- Assist with compliance matters related to data privacy, data security, trade control regulations, and other regulatory requirements, with a focus on trade control compliance.
- Maintain subsidiary lists, entity charts, and officer/director designations, and coordinate the collection of director and officer signatures on official documents.

Required Qualifications:
- A law degree from the US, Canada, UK, or Europe with 5-8 years of corporate and commercial legal experience in multinational, transnational, or North America/European-centric organizations.
- Proven expertise in drafting and negotiating commercial contracts, ideally involving software or intellectual property. Experience within the software or energy sectors is highly desirable.
- Strong ability to manage multiple priorities in a fast-paced, international business environment, demonstrating adaptability, business acumen, and independent workload management.
- Excellent time management, organizational, interpersonal, and communication skills, with a track record of effectively conveying complex legal issues both orally and in writing.
