Corporate Counsel, Pakistan

Pixalate, a rapidly expanding multinational enterprise, is seeking an experienced Corporate Counsel to join its team in Lahore, Pakistan. The ideal candidate will have 5-7 years of relevant experience and a strong background in corporate governance, contract law, and regulatory compliance under U.S. and international laws. This role demands a proactive legal professional capable of supporting Pixalate’s growth in a cost-effective and legally compliant manner while collaborating extensively across multiple departments.

Key Responsibilities
- Coordinate the preparation and timely filing of annual financial returns, corporation tax returns, VAT returns, R&D tax credit applications, and service provider utilization disclosures.
- Draft, negotiate, and amend subscription and data licensing agreements specific to software-as-a-service (SaaS) businesses, ensuring a thorough understanding of material terms and conditions.
- Identify and leverage governmental incentives such as R&D tax credits to enhance corporate financial performance and generate measurable business ROI.
- Manage projects related to the incorporation of international affiliates and subsidiaries, including drafting intercompany agreements and board resolutions for entities in jurisdictions like Ireland and Delaware.
- Ensure compliance with Organisation for Economic Co-operation and Development (OECD) Guidelines for Multinational Enterprises.
- Support fundraising activities including Series A financing, Venture Debt raises, and Convertible Notes.
- Collaborate effectively with product teams to align legal terms with product development and market strategies.
- Handle ad-hoc legal tasks with adaptability and a proactive approach, demonstrating versatility in legal support.

Required Qualifications
- LLB degree from a UK university or UK-accredited program (e.g., University of London) is required; an LLM from a UK university is preferred.
- Bachelor’s degree in Law, Finance, Economics, Business Administration, International Affairs, or Management.
- Deep familiarity with SaaS subscription agreements, including user rights, service level agreements (SLAs), and applicable legal compliance.
- Skilled in negotiating and structuring intercompany agreements aligned with corporate strategy and legal requirements.
- Strong knowledge of data privacy laws and regulations, capable of conducting risk assessments and implementing compliance measures.
- Experience drafting and presenting board resolutions to support governance and compliance initiatives at the executive level.
- Excellent written and verbal communication skills with the ability to collaborate cross-functionally.

Preferred Qualifications and Additional Information
- Experience working in startup environments and with SaaS companies is highly desirable.
- Familiarity with global information security and privacy laws such as GDPR, CCPA, CPA, and CTDPA is required.
