Software Finder is looking for a detail-oriented and proactive Legal Associate to support its legal team in daily operations. This role involves working closely with Legal Counsel on a variety of tasks including commercial contracts, legal research, regulatory monitoring, compliance documentation, corporate governance, dispute support, and overall legal operations. The ideal candidate will possess strong legal research, drafting, and analytical skills, with a solid understanding of legal and regulatory issues relevant to technology and SaaS businesses. Excellent organizational skills, professional judgment, and the ability to manage multiple assignments under supervision are essential.
Key Responsibilities
- Assist Legal Counsel in managing daily legal workflows, incoming requests, deadlines, and matter tracking.
- Maintain organized legal files, contract repositories, corporate records, and compliance documentation.
- Support the implementation and upkeep of contract lifecycle management and legal matter management systems.
- Develop and update legal templates, contract playbooks, checklists, and standard operating procedures.
- Conduct legal research on topics such as technology, SaaS, data privacy, intellectual property, commercial law, and consumer protection.
- Prepare clear legal research memoranda, summaries, and recommendations for review by Legal Counsel.
- Monitor and summarize regulatory and legislative developments impacting the business.
- Draft, review, and assist in negotiating SaaS and subscription agreements, master service agreements, data processing agreements, NDAs, vendor and partner agreements, service-level agreements, and software licensing agreements.
- Redline and mark up commercial contracts under Legal Counsel’s supervision.
- Assist in preparing internal policies, compliance materials, and corporate governance documents.
- Support the preparation of documentation, exhibits, timelines, and case chronologies for disputes, litigation, and regulatory matters.
- Track legal deadlines, filings, contractual obligations, and case-status updates.
- Receive and evaluate internal legal requests, escalating complex or high-risk issues to Legal Counsel.
- Coordinate with internal stakeholders to gather necessary information and documentation for legal matters.
- Maintain confidentiality and ensure proper handling of sensitive legal and business information.
Required Qualifications
- Bachelor of Laws (LL.B.) degree from a reputable institution.
- Valid license to practice law or membership with the relevant Bar Council.
- Minimum of two years of relevant legal experience in-house, corporate, commercial, or law firm environment.
- Strong legal research, analytical, and professional writing skills.
- Practical experience drafting, reviewing, and redlining commercial contracts.
- Solid understanding of contract law, corporate law, commercial law, and regulatory compliance.
- Ability to manage multiple assignments, deadlines, and ongoing legal matters under supervision.
- Excellent attention to detail, organizational skills, and document management capabilities.
- Strong written and verbal communication skills.
- Ability to collaborate effectively with both legal and non-legal stakeholders.
- High standards of professional ethics, discretion, and confidentiality.
Preferred Qualifications
- Previous experience within technology, IT, software, or B2B SaaS organizations.
- Familiarity with subscription and licensing agreements, data processing agreements, service-level agreements, and master service agreements.
- Understanding of international data privacy frameworks such as GDPR and CCPA.
- Exposure to intellectual property, consumer protection, and technology-sector regulations.
- Experience with contract lifecycle management, legal matter management, or document management systems.
- Familiarity with legal operations, contract repositories, matter tracking, and compliance reporting.
- Experience developing legal templates, playbooks, checklists, and standard operating procedures.
