Legal & Commercial Manager

FINEXCORE is looking for a skilled Legal & Commercial Manager to join its Hyderabad office. The ideal candidate will have over four years of relevant experience and will be responsible for managing legal, commercial, and contractual matters related to software products, IT solutions, professional and managed services, and customer engagements. This role requires close coordination with Sales, Delivery, Product, Finance, and Management teams to ensure contracts are both legally compliant and commercially viable, aligning with the company’s strategic objectives. Strong contract management, negotiation skills, and experience with technology-related agreements are essential for success in this position.

Key Responsibilities

- Draft, review, negotiate, and manage a wide range of contracts including Software License Agreements, SaaS Agreements, Master Service Agreements (MSAs), Statements of Work (SOWs), Support Agreements, NDAs, and Partner Agreements involving customers, partners, vendors, and suppliers.
- Ensure all contractual terms comply with company policies, relevant laws, and business requirements.
- Maintain and update standard contract templates, keep accurate records, and manage a centralized contract repository.
- Monitor key contractual obligations, renewal dates, and commitments to identify and mitigate potential risks.
- Collaborate closely with the Sales team during customer negotiations, reviewing pricing, payment terms, liabilities, warranties, indemnities, and service commitments to ensure commercial soundness.
- Identify contractual and commercial risks and propose appropriate mitigation strategies.
- Assist in preparing and reviewing responses to RFPs, RFIs, and other customer contract requirements.
- Provide ongoing commercial and contractual guidance throughout the sales cycle to support business objectives.
- Manage software licensing, subscription, and technology-related agreements, supporting product commercialization, reseller arrangements, and strategic partnerships.
- Review contractual provisions related to software usage, licensing, intellectual property rights, confidentiality, and ownership.
- Work closely with Product and Delivery teams to ensure contractual commitments are practical, clear, and achievable.
- Support compliance with applicable laws, regulations, contractual obligations, and data privacy requirements.
- Monitor contractual performance and highlight any risks or non-compliance issues.
- Assist in resolving contractual disputes and other legal matters as necessary.
- Coordinate with external legal counsel and advisors on specialized legal issues.
- Maintain thorough documentation and records of all legal and contractual activities.

Required Qualifications

- Bachelor’s degree in Law, Business, Commerce, or a related discipline.
- At least 4 years of experience in legal, commercial, or contract management roles.
- Hands-on experience with IT services, enterprise software, SaaS, or technology contracts.
- Proficient in contract drafting, review, negotiation, and management.
- Strong understanding of commercial terms, contractual risks, and business needs.
- Ability to work collaboratively with cross-functional teams and external stakeholders.
- Excellent written and verbal communication skills.
- High attention to detail, strong problem-solving, and sound decision-making capabilities.

Preferred Qualifications

- Experience with enterprise software and SaaS products.
- Background in IT services and managed services.
- Familiarity with software licensing and technology partnership agreements.
- Exposure to banking, financial services, or FinTech sectors.
- Prior experience working in technology and software product companies.
