We are seeking a dedicated professional to lead and manage our ethics and compliance program. This role involves maintaining the Code of Conduct and related policies, overseeing the whistleblowing channel, conducting investigations into misconduct, and promoting a culture of ethical behavior across the organization. The position requires close collaboration with business functions and the Board Audit Committee to ensure adherence to legal and regulatory standards.

Key Responsibilities

- Serve as the Policy Owner for the Code of Conduct and related compliance policies, including anti-bribery/corruption, conflicts of interest, gifts & hospitality, whistleblowing, and third-party due diligence. Regularly update these policies in line with applicable laws and industry standards.
- Manage Tier 2 compliance policies under NFL’s Policy Governance Framework and contribute subject-matter expertise to Tier 1 policy reviews as needed.
- Monitor regulatory and industry changes relevant to compliance, ensuring timely communication and policy updates across the organization.
- Lead company-wide communication and training initiatives to ensure employees understand and comply with policies, fostering a culture of integrity and ethical conduct.
- Set the ethical tone from the top, encouraging a safe environment for employees to report concerns without fear of retaliation.
- Administer the integrity/reporting portal as the central point for compliance-related disclosures, ensuring confidentiality, proper triage, and timely resolution.
- Analyze portal usage trends and report findings to leadership and governance forums.
- Lead or oversee internal investigations into misconduct or policy breaches, excluding cases governed by mandatory statutory processes, ensuring fairness and due process.
- Collaborate with the Ethics Committee, People, Legal, and business units during investigations; document findings and recommend corrective or disciplinary actions.
- Ensure disciplinary procedures comply with applicable labor laws, particularly when respondents are classified as “workmen.”
- Immediately refer complaints involving sexual harassment or gender-based discrimination to the statutory Inquiry Committee, ensuring compliance investigations do not replace this statutory process.
- Design and implement NFL’s compliance monitoring and testing program, conducting risk assessments across the business.
- Report compliance metrics, incidents, and trends to senior management and the Board, aligning with existing protocols for consistent escalation and notification.
- Act as the liaison for sector and operational regulators on day-to-day compliance matters, as agreed with business units.
- Maintain the compliance policy inventory, ensuring all policies are current, accessible, and clearly communicated.
- Escalate material breaches to the Board Audit Committee, maintaining direct reporting lines to safeguard investigative independence, especially in cases involving senior management.
- Ensure statutory processes take precedence over general compliance investigations when applicable.
- Maintain clear accountability matrices (RACI) to delineate Compliance and Governance responsibilities, preventing overlap.
- Continuously evaluate and enhance the compliance program by benchmarking against industry best practices and adapting to evolving regulatory requirements.

Required Qualifications

- Bachelor’s degree in Law, Business, Finance, or a related field.
- 8 to 12 years of progressive experience in compliance, ethics, legal, audit, or risk management within a listed company or multinational organization.

Preferred Qualifications

- LLB or Master’s degree preferred.
- Proven experience managing investigations and whistleblowing/integrity programs is strongly preferred.
