• Responsible for providing management with effective legal advice on overall corporate matters and business issues

. • Devising strategies to minimize litigation cases and monitoring matters already in litigation to secure Banks interest.

• Ensure that bank operates in full compliance with applicable laws and regulations.

• Ensure positive communication and good relationships with internal & external stakeholders (internal executives, regulators, external counsel etc.)

• Ensuring the effective in-house legal work to minimize reliance on external legal services.

• Compliance with statutory requirements of Companies Ordinance of Pakistan, SBP prudential regulations and microfinance licenses terms and conditions in line with the prescribed time frame.

• Responsible to prepare/draft/amend all legal contracts for the bank

• Drafting minutes of Board of Directors and Shareholders meetings and taking subsequent actions in line with the provisions of Companies Ordinance and Prudential regulations.

• Organizing the Board of Directors meeting as per agreed time line. Preparing agendas for Board of Directors Meeting, taking minutes of the meeting and submitting the minutes to State Bank of Pakistan.

• Ensure compliance as company sectary and adhere to SBP guidelines

• Issuance of Rights Shares as and when new equity from shareholder is received and complete all other formalities like registration of the same with SBP, SECP and amend the Memorandum and Articles of Association of the Bank to reflect the change in paid up capital of the Company.

• Updating of members and other statutory registers and complete all formalities as mentioned in Companies Ordinance 1984 and other corporate laws which are applicable to Mobilink Bank

Mobilink Microfinance Bank Limited (MMBL) is Pakistan's largest digital bank with over 20 million registered and 8 million active digital wallets. Backed by VEON Co., MMBL started operations in April 2012 and launched branch-less banking operations under the brand name JAZZCASH in partnership with Pakistan's largest telecom operator JAZZ in Nov 2012.
