We are seeking two Associates to join our expanding Corporate & Commercial Division at our Islamabad office, working under the leadership of Partner Mr. Sohail Khan Nasar. The Division provides expert advice to both domestic and international clients on matters including mergers and restructuring, technology and intellectual property licensing and enforcement, regulatory compliance, and cross-border investment. Associates will engage directly with Partners from the outset, handling institutional and cross-border mandates. Regular interaction with regulatory bodies such as the Securities and Exchange Commission of Pakistan (SECP), the Intellectual Property Organisation of Pakistan (IPO-Pakistan), and the Board of Investment forms a key part of the role.

Key Responsibilities
- Provide legal support on mergers, acquisitions, restructuring, and corporate transactions.
- Draft and review transactional documents including share purchase agreements, shareholders’ agreements, and licensing contracts.
- Conduct comprehensive legal due diligence for corporate and commercial matters.
- Advise clients on regulatory compliance, particularly under the Companies Act, 2017 and SECP filing requirements.
- Engage in legal research across case law, statutes, and regulatory frameworks to support client mandates.
- Collaborate closely with Partners on cross-border and institutional projects, ensuring high-quality legal service delivery.

Required Qualifications
- LL.B. degree from a recognised institution.
- Valid licence to practise as an Advocate of the High Court.
- Minimum of two years’ post-qualification experience in corporate and commercial law practice.
- Strong working knowledge of the Companies Act, 2017, and SECP regulatory and filing procedures.
- Proven experience in transactional drafting and legal due diligence.
- Excellent legal research skills with the ability to work independently.
- Strong analytical abilities and excellent written communication skills, with a high command of English.
