We are seeking two Associates to join our expanding Corporate & Commercial Division at our Islamabad office, working under the leadership of Partner Mr. Sohail Khan Nasar. The Division provides expert legal advice to both domestic and international clients on matters including mergers and restructuring, technology and intellectual property licensing and enforcement, regulatory compliance, and cross-border investment. Associates will engage directly with Partners from the outset, handling institutional and cross-border mandates. The role involves regular interaction with regulatory bodies such as the Securities and Exchange Commission of Pakistan (SECP), the Intellectual Property Organisation of Pakistan (IPO-Pakistan), and the Board of Investment.

Key Responsibilities
- Provide legal support and advice on corporate and commercial transactions, including mergers, acquisitions, and restructuring.
- Draft and review transactional documents such as share purchase agreements, shareholders’ agreements, and licensing contracts.
- Conduct thorough legal due diligence for various corporate transactions.
- Ensure compliance with the Companies Act, 2017, and SECP regulatory and filing requirements.
- Perform detailed legal research across case law, statutes, and regulatory frameworks independently.
- Collaborate closely with Partners on cross-border and institutional mandates, contributing to strategic legal solutions.
- Maintain up-to-date knowledge of relevant laws and regulations affecting corporate and commercial practice.

Required Qualifications
- LL.B. degree from a recognised institution.
- Licence to practise as an Advocate of the High Court.
- Minimum of two years’ post-qualification experience in corporate and commercial law.
- Strong working knowledge of the Companies Act, 2017, and SECP regulatory requirements.
- Proven experience in transactional drafting and legal due diligence.
- Excellent legal research skills with the ability to work independently.
- Strong analytical abilities and proficient written communication skills, with an excellent command of English.
