The Manager Corporate Affairs will be responsible for leading and managing the Company’s Takaful business in strict compliance with Shariah principles, regulatory requirements, and the organization’s strategic objectives. This role demands a highly experienced professional to oversee corporate governance functions, coordinate Board activities, and ensure adherence to all relevant laws and regulations. The position requires strong leadership skills in executive coordination, stakeholder engagement, and regulatory liaison, particularly within the insurance sector or public-sector entities governed by the SOE Act.

Key Responsibilities

Report directly to the Executive Director (CS) and manage the Company’s Takaful business/function in accordance with Shariah guidelines and regulatory mandates. Coordinate all Board of Directors and committee-related activities, including preparing meeting agendas, working papers, summaries, and supporting documents. Ensure timely distribution and accurate record-keeping of Board meeting documentation and minutes. Maintain comprehensive records of Board decisions, resolutions, and committee proceedings, and monitor the implementation of these decisions.

Prepare Board summaries, management papers, and corporate reports to facilitate executive decision-making. Ensure strict compliance with corporate laws, governance frameworks, and regulatory requirements. Act as the primary liaison with regulatory bodies such as SECP, Ministry of Commerce, and other government authorities on corporate matters. Maintain statutory and corporate records with accuracy and confidentiality.

Coordinate shareholder relations, including organizing annual general meetings and other corporate meetings as needed. Assist in developing, formulating, and periodically reviewing corporate governance policies and procedures. Monitor and analyze changes in laws, regulations, circulars, and regulatory instructions affecting the Company. Coordinate responses to regulatory observations and proactively address corporate governance issues.

Prepare official correspondence, reports, briefing notes, and presentations for senior management and the Board. Maintain confidentiality of sensitive corporate and Board-related information. Provide guidance to various departments on corporate governance and regulatory compliance matters. Supervise corporate affairs staff to ensure timely and efficient completion of assignments.

Required Qualifications

A Master’s degree in Law, Business Administration, Public Policy, or a related field is preferred. Alternatively, a 4-year Bachelor’s degree (16 years of education) or an equivalent qualification from a recognized local or foreign institute/university accredited by the Higher Education Commission (HEC) of Pakistan is acceptable. Candidates must have a minimum of 6 years of professional experience, including at least 3 years in senior-level corporate, Board, or governance roles.

Proven experience in executive coordination and government or institutional affairs is essential. A background in the insurance sector, particularly with the Central Coordination Group (CCG) for Insurers, or experience within public-sector corporate entities governed by the SOE Act, is highly desirable.

Preferred Qualifications and Skills

Exceptional drafting skills and proficiency in official correspondence are important. Strong coordination and stakeholder management capabilities are required, along with excellent communication skills and experience handling Board and committee matters. Expertise in executive decision support and regulatory compliance is necessary. The ability to maintain confidentiality and manage sensitive corporate information effectively is critical for success in this role.
