Our client, a prominent Renewable Energy Company, is seeking an experienced Manager Finance & Compliance to join their leadership team. Reporting directly to the Chief Operating Officer (COO), this role is pivotal in overseeing the company’s financial management, regulatory compliance, and corporate legal affairs. The position uniquely blends responsibilities typically associated with a Chief Financial Officer alongside comprehensive oversight of legal, compliance, and corporate governance functions throughout the organization.

Key Responsibilities

- Lead the financial planning process, including budgeting, forecasting, and the development of long-range plans. Monitor cash flow, working capital, and liquidity for both the company and its projects.
- Oversee accounting, reporting, treasury, taxation, and collections to ensure timely closure of books, statutory filings, and ERP reconciliations.
- Act as the principal in-house legal advisor by reviewing, drafting, and negotiating contracts such as NDAs, MoUs, JV agreements, EPC, PPA, O&M contracts, and supplier/customer agreements. Manage external legal counsel engagements as necessary.
- Ensure full compliance with corporate, tax, labor, SECP, NEPRA, and other regulatory requirements relevant to the renewable energy sector. Maintain the legal register and compliance calendar.
- Establish and maintain the corporate governance framework, including Board and Board Committee secretariat support, statutory registers, minutes, and filings.
- Own the risk management framework covering financial, operational, contractual, HSE, and reputational risks. Provide periodic risk reports to the CEO, COO, and Board Audit & Risk Committee.
- Liaise with banks, auditors, tax authorities, regulators, and shareholders for financing, audits, tax assessments, regulatory inspections, and investor/lender due diligence.
- Provide commercial input on pricing, penalties, and risk allocation during bid evaluation and contract finalization to protect the company from adverse contractual exposure.
- Supervise Operations & Control, Treasury, Tax & Collection teams, and coordinate with Support Services under the Shared Services Agreement, including Legal, Accounting & Tax, HR, Admin & IT, Internal Audit, and Branding.

Required Qualifications

- A minimum of 16 years of education, preferably a master’s degree from an HEC-recognized university or an equivalent foreign degree.
- Professional qualifications in Finance, Accounting, Law (LLB/LLM), or Corporate/Commercial Law are mandatory. Candidates with combined qualifications in Finance and Law or Chartered Accountants with a Law degree are strongly preferred.
- At least 5 years of relevant professional experience in a similar role within a large national or multinational organization, ideally at the same level or one level below.

Preferred Qualifications and Skills

- Dual expertise in Finance and Law is highly desirable. The ideal candidate would be a Chartered Accountant with an LLB/LLM or a lawyer with corporate finance experience.
- In-depth knowledge of corporate, contract, tax, labor, and renewable energy/power sector regulations in Pakistan, including Companies Act, Sales Tax/Federal Excise, Income Tax, and NEPRA/AEDB frameworks.
- Proven track record of leading finance, compliance, and legal functions in infrastructure, Independent Power Producer (IPP), EPC, or renewable energy environments.
- Strong skills in contract drafting, negotiation, and dispute management, including experience managing external counsel and litigation portfolios.
- Excellent leadership capabilities, stakeholder management, and board-level communication skills.
- High integrity, sound judgment, and the ability to balance commercial objectives with legal and regulatory safeguards.
- Proficiency with ERP systems, MS Office Suite, and legal/contract management tools is essential.
- Candidates should preferably be under 35 years of age as of the application deadline.

This role offers a challenging opportunity to contribute to a leading renewable energy company’s growth and governance. Interested candidates who meet the qualifications are encouraged to apply through the company’s official careers portal by the specified deadline. Only shortlisted candidates will be contacted.
