We are seeking a dedicated professional to lead and manage our ethics and compliance program. This role involves maintaining the Code of Conduct and related policies, overseeing the integrity and whistleblowing channels, conducting investigations into misconduct, and promoting a culture of ethical behavior throughout the organization. The position requires close collaboration with business functions and the Board Audit Committee to ensure compliance and integrity standards are upheld.

Key Responsibilities

- Serve as the Policy Owner for the Code of Conduct and associated compliance policies, including anti-bribery/corruption, conflicts of interest, gifts and hospitality, whistleblowing, and third-party due diligence. Ensure these policies are regularly updated in line with applicable laws and industry standards.
- Manage Tier 2 compliance policies such as Anti-Bribery & Anti-Corruption Procedures and Gifts & Hospitality Guidelines under NFL’s Policy Governance Framework. Provide expert input on Tier 1 policies when required.
- Monitor regulatory and industry changes relevant to compliance, communicate updates across the organization, and incorporate necessary revisions into policies promptly.
- Lead company-wide communication and training initiatives to ensure employees understand and adhere to compliance policies, fostering a culture of integrity and ethical conduct.
- Promote ethical behavior from the top down, creating an environment where employees feel safe to report concerns without fear of retaliation.
- Administer the integrity/reporting portal as the central point for receiving compliance-related disclosures, ensuring confidentiality, proper case triage, and timely resolution.
- Track and report on integrity portal usage trends to leadership and governance forums.
- Lead or oversee internal investigations into misconduct or policy violations, excluding cases governed by mandatory statutory processes, ensuring fairness and due process.
- Collaborate with the Ethics Committee, People, Legal, and business units during investigations, document findings, and recommend corrective or disciplinary actions.
- For respondents classified as “workmen” under labor law, ensure disciplinary actions follow the appropriate chargesheet, show-cause, or domestic inquiry procedures to maintain enforceability.
- Immediately refer complaints involving sexual harassment or gender-based discrimination to the statutory Inquiry Committee under the Protection against Harassment of Women at the Workplace Act, 2010, ensuring compliance investigations do not replace this statutory mechanism.
- Design and implement NFL’s compliance monitoring and testing program, conducting risk assessments across the business.
- Report compliance metrics, incidents, and trends to senior management and the Board, aligning escalation protocols with existing investigation and incident management policies.
- Act as the primary contact for sector and operational regulators on day-to-day compliance matters, as agreed with the business.
- Maintain the compliance policy inventory with version control, ensuring all policies are current, accessible, and clearly communicated.
- Escalate significant breaches to the Board Audit Committee, maintaining a direct reporting line to the Audit Committee Chair for cases involving senior management misconduct to preserve investigative independence.
- Ensure statutory processes take precedence over the general compliance investigation framework when applicable.
- Maintain a RACI matrix to clarify compliance versus governance responsibilities and avoid overlap.
- Continuously evaluate and enhance the compliance program by benchmarking against industry best practices and adapting to evolving regulatory requirements.

Required Qualifications

- Bachelor’s degree in Law, Business, Finance, or a related field.
- 8 to 12 years of progressive experience in compliance, ethics, legal, audit, or risk management within a listed company or multinational organization.

Preferred Qualifications

- LLB or Master’s degree preferred.
- Proven experience managing investigations and whistleblowing/integrity programs is highly desirable.
