We are seeking a seasoned professional to lead and manage our ethics and compliance program, ensuring adherence to our Code of Conduct and related policies. This role involves administering the integrity and whistleblowing channels, conducting investigations into misconduct, and fostering a culture of integrity throughout the organization. The position works closely with business functions and reports to the Board Audit Committee to uphold the highest standards of ethical conduct.

Key Responsibilities

- Serve as the Policy Owner for the Code of Conduct and associated compliance policies such as anti-bribery/corruption, conflicts of interest, gifts & hospitality, whistleblowing, and third-party due diligence. Maintain and update these policies in alignment with relevant laws, regulations, and industry standards.

- Manage Tier 2 compliance policies under NFL’s Policy Governance Framework and contribute subject-matter expertise to Tier 1 policy reviews as needed.

- Monitor legal and regulatory changes affecting compliance, ensuring timely communication and policy updates across the organization.

- Lead company-wide communication and training initiatives to promote understanding and application of compliance policies, fostering an ethical workplace culture.

- Set the ethical tone from the top, encouraging employees to report concerns safely and without fear of retaliation.

- Administer the integrity/reporting portal, ensuring confidentiality, proper case triage, and timely resolution of compliance-related disclosures.

- Track and analyze integrity portal usage trends, providing reports to leadership and governance bodies.

- Lead or oversee investigations into reported misconduct or policy breaches, excluding matters governed by mandatory statutory processes, ensuring fairness and due process.

- Collaborate with the Ethics Committee, People, Legal, and business units during investigations, documenting findings and recommending corrective or disciplinary actions.

- Ensure disciplinary procedures comply with applicable labor laws, particularly when respondents are classified as “workmen,” to maintain enforceability in labor courts.

- Immediately escalate complaints involving sexual harassment or gender-based discrimination to the statutory Inquiry Committee as mandated by the Protection against Harassment of Women at the Workplace Act, 2010, ensuring compliance investigations do not replace this statutory mechanism.

- Design and implement NFL’s compliance monitoring and testing program, conducting risk assessments across business units.

- Report compliance metrics, incidents, and trends to senior management and the Board, aligning escalation protocols with existing investigation and incident management policies.

- Act as the primary contact for sector and operational regulators on routine compliance matters, as coordinated with business leadership.

- Maintain the compliance policy inventory with version control, ensuring accessibility and clear communication to stakeholders.

- Escalate significant breaches to the Board Audit Committee, maintaining direct reporting lines to safeguard investigation independence, especially in cases involving senior management.

- Uphold statutory processes where applicable, ensuring these take precedence over general compliance investigations.

- Maintain a RACI matrix to delineate compliance versus governance responsibilities, preventing overlap and ambiguity.

- Continuously evaluate and enhance the compliance program by benchmarking against industry best practices and adapting to evolving regulatory requirements.

Required Qualifications

- Bachelor’s degree in Law, Business, Finance, or a related field.

- 8 to 12 years of progressive experience in compliance, ethics, legal, audit, or risk management within a listed company or multinational organization.

Preferred Qualifications

- LLB or Master’s degree preferred.

- Proven experience managing investigations and whistleblowing/integrity programs is strongly favored.
